1. Agreement
By accessing this website or engaging LexaView for services, you agree to be bound by these Terms of Service. If you do not agree, do not use this site or engage our services. These Terms apply to all visitors, prospective clients, and current clients.
2. Who We Are and What We Do
LexaView is a strategic advisory firm. We translate regulatory and policy changes into commercial strategy for growth-stage healthcare technology vendors. That work includes assessing where current positioning has drifted from buyer expectations, building revised messaging, and preparing commercial teams for field execution.
We are not a law firm. We are not a compliance firm. We do not provide legal advice, regulatory counsel, or compliance determinations. Nothing on this site, and nothing produced during a LexaView engagement, constitutes legal advice or should be treated as a substitute for it. Clients requiring formal compliance determinations, regulatory approvals, or legal representation should engage qualified legal and regulatory counsel.
3. Services
LexaView provides strategic advisory services under terms established in individual engagement agreements. Those agreements govern the scope, deliverables, timeline, fees, and any specific obligations of each engagement. In the event of a conflict between an engagement agreement and these Terms, the engagement agreement controls for matters specific to that engagement.
The services described on this site are illustrative. LexaView's actual scope of work in any engagement is defined by the engagement agreement, not by website descriptions.
4. No Guarantees on Regulatory or Commercial Outcomes
LexaView does not guarantee specific regulatory outcomes, approval timelines, compliance results, or revenue performance. Strategic advisory work is informed by experience and judgment; it is not a guarantee of any particular result. Market conditions, regulatory decisions, and buyer behavior are outside LexaView's control. The quality and specificity of every plan LexaView delivers reflects our full professional accountability, but that accountability does not extend to outcomes that depend on factors beyond our scope.
5. Intellectual Property
LexaView's materials. All content on this site, including written copy, frameworks, methodologies, and visual assets, is the property of LexaView. You may not reproduce, distribute, or use LexaView's materials for any commercial purpose without written permission.
Client materials. Materials you provide to LexaView during an engagement remain your property. LexaView uses them solely to perform the agreed work. Specific confidentiality obligations are governed by the engagement agreement.
Deliverables. Ownership of deliverables produced during an engagement is governed by the engagement agreement. Unless otherwise specified in writing, LexaView retains the right to use frameworks, methodologies, and general approaches developed in the course of client work for other clients, provided that client-specific confidential information is not disclosed.
6. Confidentiality
LexaView treats client information with professional discretion. Specific confidentiality obligations, including what constitutes confidential information and how it is handled, are defined in individual engagement agreements. This site does not capture or store confidential business information; do not transmit sensitive information through contact forms or general site communications.
7. Use of This Site
You may use this site for lawful purposes only. You may not use it to transmit harmful, deceptive, or unlawful content; to attempt unauthorized access to any part of the site or its underlying systems; or to engage in conduct that interferes with the site's operation or with other users' access.
LexaView makes reasonable efforts to keep this site accurate and available. We do not warrant that the site will be uninterrupted, error-free, or free of technical issues. Content on this site reflects our views at the time of publication and may not reflect subsequent developments in policy, regulation, or market conditions.
8. Third-Party Links
This site may link to third-party websites for reference. Those links are provided for convenience. LexaView does not control third-party sites, does not endorse their content, and is not responsible for their accuracy, availability, or practices.
9. Limitation of Liability
To the extent permitted by law, LexaView's liability for any claim arising from use of this site or from advisory services provided outside a formal engagement agreement is limited to direct damages not exceeding the fees paid to LexaView in the three months preceding the claim. LexaView is not liable for indirect, incidental, consequential, or punitive damages.
Liability arising from a formal engagement agreement is governed by that agreement.
10. Disclaimer of Warranties
This site and all content on it are provided "as is." LexaView makes no warranties, express or implied, regarding the accuracy, completeness, or fitness for a particular purpose of any content on this site. This disclaimer does not affect warranties that cannot be excluded under applicable law.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising under these Terms that is not resolved through direct negotiation will be submitted to binding arbitration in San Diego, California under the rules of JAMS, unless the parties agree in writing to an alternative resolution process. This arbitration clause does not apply to claims that are properly brought in small claims court.
12. Changes to These Terms
LexaView may update these Terms at any time. The updated Terms take effect when posted to this site. Continued use of the site after an update constitutes acceptance of the revised Terms. If you are a current client, changes to these Terms do not modify the terms of your engagement agreement.
